Naked Shorting Targeted By New IIROC Notice


 

This morning IIROC, who oversees all investment dealers and trading activity on debt and equity markets in Canada, issued a notice effectively aimed at the practice of “naked short selling.” The note states that short sellers without a reasonable expectation that they will have access to sufficient securities to settle any resulting trade on settlement date, which generally is two days following the trade date, is prohibited by UMIR 2.2 – Manipulative and Deceptive Activities.”

Understanding Two Types of Short Sales

In general, there are two ways to describe short sales: “covered” or “naked.”

covered short sale is when a seller arranges to borrow or acquire the shares when a short sale is made. Conversely, a naked short sale is when a seller has sold shares they do not own, and has made no prior arrangements to borrow or acquire, but hopes to obtain shares to settle the trade.

Our Interpretation of the IIROC Notice

Essentially, our interpretation of IIROC’s notice after speaking with industry insiders is that the note is primarily aimed at those who are attempting to sell shares they have made no prior arrangements for, thus naked short sales

From our interpretation, short sales:

  • Must have borrow in place.
  • Or if it is a short sale with underlying securities that have a restrictive legend, the legend must be off before the settlement date (or the day of).
  • Or if it is a short sale prior to closing a new issue (i.e., a financing that will see new shares issued), the closing date must be before settlement date (or the day of).

Investors Feel They Pay for Short Sellers Gains

Naked short-selling has been a hotly debated issue amongst Canadian retail investors. From our view, many retail investors feel they aren’t fully supporting a company’s future when they buy shares in the open market, instead, they are supporting a wealth transfer mechanism that includes various Bay Street Investment Banksand Predatory Hedge Funds.

Law Firm McMillan LLP wrote a blog post back in 2019 analyzing the impact the lack of regulation has caused the Canadian Capital Markets, saying that Canada took a hands-off approach, while other countries got more active. They wrote, “From 2015 to 2018 there was an increase in the number of short campaigns in Canada, while generally in other jurisdictions there was a decrease. ” 

OilPrice.com editor James Stafford wrote an editorial piece for Business Insider in 2021, highlighting the issues with naked short-selling. At the time, Stafford wrote, “Stocks are sent into a tailspin when shorters fail to settle a trade and cannot find any stock to buy back, meaning that there are more shares which seem to be outstanding than there really are on the market. It’s an existential crisis for companies targeted by naked shorters. While technically, traders only have two days to settle those shorts, they are often given 10 days under “exceptional circumstances”, according to CME.”

Whether or not this notice will have a profound impact on the Canadian Capital Markets remains to be seen. But hopefully, this clarification paves the way to make an example of those abusing the Canadian Junior Markets. Too often, it feels like funds with large balance sheets crush companies leaving founders, executives, employees, investors, and other stakeholders left holding a bag for a company that never got a fair chance. All so that a portfolio manager could add a few basis points to their performance. Let’s hope this is a step in the right direction.

TNR Gold Update – NSR Royalty on Los Azules Copper, Gold and Silver Project with McEwen Mining

"Vancouver, British Columbia – May 9, 2022: TNR Gold Corp. (TSX-V: TNR) (“TNR”, “TNR Gold” or the “Company”) is pleased to announce that, further to the Company’s news release dated November 10, 2021, McEwen Mining Inc. (“McEwen Mining”) provided a progress report on the Los Azules Copper Project in San Juan, Argentina. TNR holds a 0.4% net smelter returns royalty (“NSR Royalty”) (including a 0.04% NSR held on behalf of a shareholder) on the Los Azules Copper Project. The Los Azules Copper Project is held by McEwen Copper Inc., a subsidiary of McEwen Mining.

The news release issued by McEwen Mining on May 4, 2022, stated:

 

“Timing is everything and now appears to be a time for copper to shine. According to Goldman Sachs’ (GS) research1, copper is the new oil. A growth sector with supply constraints, GS forecasts that copper has only two years of supply growth left, 2022 and 2023, and an open-ended supply decline starting from 2024. They see copper playing a big, critical role as an essential component in the global push to electrify transportation and to contain/reverse global warming. They are not alone in thinking about copper this way. McKinsey’s research2 is estimating that by 2030 copper demand will be outstripping supply by five to eight million tons per year.

Los Azules Is No Longer Remote!
The critical issue of road access to the site has been resolved! We have developed a second road at a lower altitude that will allow us year-round access to the site. Our access will be extended, making it safer, less expensive and faster to advance and complete our fieldwork.

Drilling Confirming Size and Grade
Additional drilling is confirming the mineralization size and grade compared to historic intercepts used to estimate the 2017 PEA mineral resource estimate. To date, the results from core logging and sample analysis are very encouraging. In many holes, drilling was allowed to continue beyond the planned length where visible copper mineralization was observed. Often, primary mineralization in the hole was still apparent when drilling was stopped due to drill equipment limitations. Hole AZ22142 intersected 419.1 meters of 0.79% copper including an interval 104.0 m of 1.00% copper in the supergene enriched zone and 46 m of 1.59% copper in the primary copper zone. Importantly, our updated geological model will reflect the sub-vertical structures and rock types that are thought to be key features controlling the distribution of mineralization. This points directly to the potential for significant mineralization to be discovered with additional drilling to depth.

TECHNICAL INFORMATION
The technical content of this news release has been reviewed and approved by Stephen McGibbon, P.Geo, SVP Exploration of McEwen Mining and a Qualified Person as defined by NI 43-101.

All samples were collected in accordance with generally accepted industry standards. Drill core samples usually taken at 2m intervals are split and submitted to Alex Stewart International laboratory in Mendoza, Argentina for the following assays: gold determination using fire assay fusion and an atomic absorption spectroscopy finish (Au4-30); a 39 multi-element suite using ICP-OES analysis (ICP-AR 39); copper content was determined using a sequential copper analysis (Cu-Sequential). An additional 19-element analysis (ICP-ORE) was performed for samples with high sulfide content.

The Company carries out a Quality Assurance / Quality Control program consistent with NI 43-101 and industry best practices utilising a combination of standards and blanks approximately one in every 25 samples. Results are monitored as the final certificates are received and any re-assay requests are sent back immediately. Pulp and prep duplicate sample analyses are also taken as part of the QAQC process. Approximately 5% of sample pulps are sent to a secondary laboratory for check assays. In addition, the assay lab performs its own internal QAQC checks with results available in the certificates for review by the Company.

TNR Gold Lithium Royalty Holding: Ganfeng Increases Stake In Mariana Lithium Closer To 100% - Lithium Giant To Build New 50,000 Tonnes-per-year Lithium Plant, Raising USD $630 Million To Boost Capacity.


Ganfeng Lithium is moving very fast forward advancing all its Lithium vertically integrated business value chain at once, as it seems, with all recent announcements. They are moving forward with the development of Cauchari=Olaroz and Mariana Lithium brine projects in Argentina in order to secure a supply of raw materials. 



"Jujuy, Nacion and Ganfeng signed a memorandum to manufacture Lithium batteries in the Jujuy Province, Argentina. The Chinese giant is increasing its footprint in Argentina and moving up the value chain establishing Lithium batteries production facilities in Argentina this time." 

Lithium giant is going to build a new 50,000 tonnes-per-year lithium plant in the home province of Jiangxi:


"(Reuters) - China’s Ganfeng Lithium, one of the world’s biggest lithium companies, said on Tuesday it would set up a plant to produce 50,000 tonnes per year of lithium carbonate equivalent (LCE) in its home province of Jiangxi.

The announcement comes as Ganfeng embarks on a plan to lift capacity roughly fivefold to no less than 600,000 tonnes of LCE annually. After a three-year downturn, demand for lithium, used in electric vehicle batteries, is surging again as the world’s transition to a low-carbon economy picks up pace."


Ganfeng is raising more capital to fund all its expansion plans:


"(Reuters) - Ganfeng Lithium, one of the world’s top lithium producers, said on Friday it would sell around HK$4.9 billion ($630 million) in new shares to boost capacity and fund potential investments."


They bought stakes in new lithium companies and increased its control and size of the available off-takes in the best projects. The strategy must be to get stakes in all the best available projects and diversify its lithium raw material base geographically and build a solid foundation for years to come with all 3 major sources of lithium raw materials: brines, hard-rock spodumene and clay.



 

Ganfeng has increased its stake in Mariana Lithium JV further closer to 100% with 89.9% ownership according to the latest public information. The Mariana Lithium Project "is expected to reach the feasibility study stage by the end of May 2021". (NRs and JV partner filing May 13, 2021)


I am expecting to see a further increase in Ganfeng Lithium's ownership of Mariana Lithium moving closer to 100%, as their JV partner "... has decided to temporarily cease to make contributions to the Mariana Joint Venture Project in order to concentrate on other strategic projects" (SEDAR May 13, 2021).


After an increase of more than 250% of Lithium resource at the Mariana Lithium Project in 2020, Ganfeng now has all incentives in place to move Mariana Lithium Project fast forward into production. "The application for environmental assessment of the Mariana Project in Argentina was successfully submitted, and it is planned to commence construction after the environmental assessment permit for plant construction is obtained in 2021." Ganfeng Annual Report 2020


With the establishment of the Lithium batteries manufacturing base in Argentina by Ganfeng, we can, maybe, forget about any ideas to ship concentrated Lithium brine from Argentina to China and start thinking about membrane-based Lithium extraction technology. It will be the next major technological breakthrough not only for Ganfeng but for the whole Lithium industry. Successful implementation of that technology can bring increased output, reduction of cost and control of the chemical purity for the Lithium product. All these operations can be made with a much smaller environmental footprint improving further ESG appeal of the full life cycle for electric cars. Mariana Lithium Project economics can be potentially improved dramatically in that case as well.

We have another set of very good public news coming from Argentina for Ganfeng Lithium and TNR Gold. Jujuy, Nacion and Ganfeng signed a memorandum to manufacture Lithium batteries in the Jujuy Province, Argentina. The Chinese giant is increasing its footprint in Argentina and moving up the value chain establishing Lithium batteries production facilities in Argentina this time. 


This move finds strong support from the government in Argentina, which do not like to be just a raw material base for the Energy rEVolution. This news will be very positive for the development of all Lithium projects in Argentina under the operation by Ganfeng Lithium. We have another piece of the puzzle placed in place for the beautiful picture of the Mariana Lithium Project moving closer to production.
