TNR Gold Corp Boosted by Fresh Stellantis Investment in McEwen Copper's Los Azules

In February 2023 Stellantis invested ARS $30 billion, and with this additional investment of ARS $42 billion, has a total investment of ARS $72 billion. 



An investment of US $10 million in McEwen Copper was also invested by Rio Tinto’s Venture Nuton after its initial US $25 million investments in 2022 and US $30 million in 2023,” stated Kirill Klip, TNR’s Chief Executive Officer.

TNR Gold NSR Royalty Update – Los Azules Copper, Gold and Silver Project – McEwen Copper Closes ARS $42 Billion Investment by Stellantis

Vancouver, British Columbia – October 16, 2023: TNR Gold Corp. (TSX-V: TNR) (“TNR”, “TNR Gold” or the “Company”) is pleased to announce that McEwen Mining Inc. (“McEwen Mining”) has provided a significant financing update on the Los Azules copper, gold and silver project in San Juan, Argentina. TNR holds a 0.4% net smelter returns royalty (“NSR Royalty”) (of which 0.04% of the 0.4% NSR Royalty is held on behalf of a shareholder) on the Los Azules Copper Project. The Los Azules project is held by McEwen Copper Inc. (“McEwen Copper”), a subsidiary of McEwen Mining.



The news release issued on October 11, 2023, by McEwen Mining stated:

(NYSE,TSX), is pleased to announce the closing of an additional ARS $42 billion investment by Stellantis, one of the worlds leading automakers and mobility providers with iconic brands including Abarth, Alfa Romeo, Chrysler, Citroën, Dodge, DS Automobiles, Fiat, Jeep®, Lancia, Maserati, Opel, Peugeot, RAM, Vauxhall, Free2Move and Leasys.

Stellantis N.V. (“Stellantis”), which in February 2023 invested ARS $30 billion, has today invested an additional ARS $42 billion in Argentina to acquire shares of McEwen Copper in a private placement of 1,900,000 common shares. The proceeds of the private placement will be used to advance development of the Los Azules copper project in San Juan, Argentina, and for general corporate purposes.

Giving effect to the pending investment by Nuton LLC, also announced today, Stellantis increases its ownership to 19.4% of McEwen Copper and McEwen Mining owns 47.7% on a fully diluted basis. The transaction values McEwen Copper at approximately US $800 million.

In connection with the transaction, McEwen Copper and certain of its affiliates amended the Investor Rights Agreement with Stellantis (the “Stellantis IRA”) and the Copper Cathodes and Concentrates Purchase Rights Agreement (the “CCCPRA”), further described below.

The Stellantis IRA was amended to make the Carbon Neutral Commitment by 2038 not contingent on Stellantis maintaining a certain minimum ownership percentage in McEwen Copper. McEwen Copper intends to implement this commitment independent of Stellantis’ involvement in the Los Azules project.

The CCCPRA was amended to provide for a minimum 10,000 tonne per annum copper cathode offtake, subject to certain restrictions and exclusions, and further defined ‘market price’ to be paid by Stellantis on future copper cathode purchases pursuant to the CCCPRA.

How valuable is the royalty held by TNR Gold Corporation on the mighty Los Azules copper project in Argentina?

That’s a question that begs many imponderables, but there’s a fair amount that we can be sure of too.



First, Los Azules is one of the largest undeveloped copper, gold and silver projects in the world. The presence of Rob McEwen and McEwen Mining is one indication of that. And the arrival of a potential development partner in the shape of Rio Tinto subsidiary Nuton Technologies is another.

Nuton put up US$25mln of the US$81.85mln that McEwen raised at the end of August to help it take Los Azules forward.



And the thinking is that when McEwen Mining comes to IPO Los Azules inside its own distinct vehicle – McEwen Copper – Rio Tinto will, directly, or indirectly, be one of the biggest stakeholders.

So, one way or another, the powers that be in mining are lining up to develop Los Azules.

And, with a 0.36% net smelter royalty, that sets up TNR Gold nicely for some serious income in the future.

Exactly how much income remains unclear at the current time. But there’s little doubt it’s liable to be substantial.



Recent estimates from Rob McEwen have argued that if you rolled all the copper, gold and silver up into a gold equivalent resource number it might net out at around 60mln ounces. By any standards, that’s absolutely huge, which takes us back to the reasons why McEwen and Rio are there in the first place.

A preliminary economic assessment completed five years ago, put the net present value of the then smaller resource at US$2.2bn, on the assumption of a US$1,300 gold price. It’s nice to be conservative, but given that the gold price, even with the recent headwinds it’s faced, is still holding its own at over U$1,800, it looks like there’ll be a serious amount of upside on the table when McEwen comes to update its numbers for the project later in 2023.



According to the timetable laid out by McEwen here, the plan is to update the preliminary economic assessment in the first quarter of 2023, then to complete the independent listing of McEwen Copper by the end of the first half of 2023, with a full feasibility study on the project due in 2024, following on from the completion of a massive 59,000 metre drilling campaign.

So it’ll be a little while yet before the cashflow from TNR’s royalty actually starts flowing, but it won’t be much time at all before we have a much clearer idea of valuation.

After all, valuing a royalty is a bit like valuing a project itself – there’s a certain amount of de-risking that must be done before the underlying value can really start to show through.



Here, as 2023 opens, we are at the start of that process. McEwen has set out a clear timetable for the next couple of years, and a potential development partner has shown up with hard cash.

So far, so good.

From TNR’s perspective, and based on what can justifiably be argued at this stage, once Los Azules is up and running, the royalty could generate around US$7mln of pre-tax cash flow per year. That hypothetical is based around an assumption that McEwen will look to produce around 200,000 tonnes of copper per year, and that copper will sell at a ballpark US$10,000 per tonne.

Now, US$7mln per year doesn’t exactly propel TNR up into the same leagues as Rio Tinto or McEwen Mining. But on the other hand, with that kind of income coming towards it, and with the de-risking process that’s going on at Los Azules, there’s a strong argument to be made that TNR itself is undervalued.

For one thing, the current market capitalisation on the Venture Exchange is just over C$7.5mln, or slightly more than one year’s cashflow looking ahead, say, five years.



There is some way to go yet, of course, but there are other assets to take into account. TNR also holds a substantial royalty on the Mariana lithium project, currently under construction by giant Ganfeng Lithium, the Shotgun gold project in Alaska, and has benefitted from a recent cash injection. With all that in mind, there is some merit to the argument that the current market capitalisation is on the mean side.

After all, these other projects are not lying idle.



TNR Gold started a new round of exploration at Shotgun  in August, preparing the project for a potential strategic partnership with one of the major gold mining companies.



For the moment, though, it’s still arguable that the Los Azules royalty is the jewel.

The upside to value is undeniably significant, especially if you take into account the valuations placed on comparable royalties that have recently changed hands, such as that on First Quantum’s Taca Taca project, also in Argentina. This royalty, which at 0.24% was smaller in percentage terms, changed hands for US$12.75mln a couple of years ago when it was acquired by Nova Royalty Corp. (TSX-V:NOVR)

So, what price a royalty in the same jurisdiction but on a bigger project and overing a bigger percentage of the net smelter return?

Speculation in the market has been that it might be worth as much as US$20mln, or slightly under three times TNR’s current market capitalisation.

For the time being TNR’s chairman, Kirill Klip, has no plans to sell. He knows how much upside there is left, both at Los Azules, and inside the wider TNR portfolio.

The next milestones are the upcoming drilling season from October 2022 to June 2023, the completion of an updated preliminary economic assessment (PEA) in early Q1 2023, and the planned IPO of McEwen Copper in H1 2023.

In connection with the Offering, McEwen Copper entered into a collaboration agreement with Nuton (the “Nuton Collaboration Agreement”) to advance our understanding of the potential application of heap leach technology at Los Azules, including the testing of Nuton® Technologies for compatibility with Los Azules copper mineralization. Leaching has many potential economic and environmental benefits over a conventional milling scenario, including lower water and energy consumption, no large tailings storage facility or dam, and typically lower capital and operating costs.

Rio Tinto Chief Executive, Copper, Bold Baatar said: ‘This agreement will allow us to evaluate the potential to commercially deploy Rio Tinto’s innovative Nuton® Technologies for copper leaching in McEwen Copper’s planned development of Los Azules. Our Nuton® Technologies have the capacity to unlock increased copper production for Rio Tinto and our partners, with a low carbon footprint and leading environmental performance.’

The principal terms of the Nuton Collaboration Agreement include:

  • Nuton will invest $25 million in McEwen Copper, acquiring 2.5 million common shares at $10.00 per common share, for post-closing ownership of 9.73%.
  • McEwen Copper and Nuton will jointly undertake copper leach testing using Nuton Technologies with samples from Los Azules. McEwen Copper has agreed to grant exclusivity to Nuton for one year in the area of novel, patented or trade secret leaching technology, while it will continue its independent test work and studies using conventional leach technologies.
  • Nuton will have the right to select one nominee who will be appointed as a director or observer to the Board of McEwen Copper. This right will continue for as long as Nuton holds greater than 7.5% of the issued and outstanding shares of McEwen Copper.
  • McEwen Copper and its controlling shareholders will not complete a liquidity event (such as the planned IPO) until after March 31, 2023.
  • McEwen Copper has agreed to limit related party transactions in certain situations until the earlier of the planned IPO (or alternative liquidity event) or Nuton ceasing to hold 7.5%.
  • Customary standstill and lock-up agreement between the Investor and its affiliates and McEwen Copper and its affiliates.
  • Other customary representations and warranties.

The Mariana Lithium Project is 100% owned by Ganfeng Lithium. The Mariana Lithium Project has been approved by the Argentina provincial government of Salta for an environmental impact report, and the construction of a 20,000 tons-per-annum lithium chloride plant has commenced.

TNR Gold also holds a 0.4% NSR Royalty on the Los Azules Copper Project, of which 0.04% of the 0.4% NSR Royalty is held on behalf of a shareholder. The Los Azules Copper Project is being developed by McEwen Mining.

TNR also holds a 7% net profits royalty (“NPR”) holding on the Batidero I and II properties of the Josemaria Project that is being developed by Lundin Mining. Lundin Mining is part of the Lundin Group, a portfolio of companies producing a variety of commodities in several countries worldwide.

TNR provides significant exposure to gold through its 90% holding in the Shotgun Gold porphyry project in Alaska.
